MY SONY CARE MEMBERSHIP PROGRAM

TERMS AND CONDITIONS OF PARTICIPATION

PLEASE READ THESE TERMS AND CONDITIONS OF PARTICIPATION IN MY SONY CARE MEMBERSHIP PROGRAM CAREFULLY. BY PARTICIPATING IN THIS PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT PURCHASE OR PARTICIPATE IN THIS PROGRAM.

THIS AGREEMENT CONTAINS A BINDING INDIVIDUAL ARBITRATION CLAUSE AND CLASS ACTION WAIVER. IF YOU WISH TO OPT OUT OF THESE PROVISIONS, PLEASE FOLLOW THE INSTRUCTIONS IN THE DISPUTE RESOLUTION SECTION BELOW.

These Terms supplement and incorporate the My Sony Membership Program Terms & Conditions. Unless defined herein, capitalized words shall have the meaning set forth in the My Sony Membership Program Terms & Conditions. If there is a conflict, these Terms govern the My Sony Care Program paid tier.

1. Membership Eligibility and Overview

My Sony Care is a paid tier within Sony Electronics Inc.’s loyalty program available on electronics.sony.com (“Website”). Eligible members with a valid Sony Store Account may access special paid-tier benefits, in addition to any benefits available to free My Sony Membership tier members. My Sony Care requires payment of an annual, non-refundable membership fee (subject to the terms herein) and, unless canceled, renews automatically each year.

2. Eligibility; Account Requirements

My Sony Care is available only to natural persons who are legal residents of one of the following states, AK, AR, CO, DE, federal district DC, FL, HI, ID, IN, IA, LA, ME, MD, MA, MI, MS, MO, MT, NE, NJ, NM, NY, NC, NC, OH, PA, RI, SD, TN, TX, VT, VA, WA, WV, or WY, (excluding U.S. territories and possessions), at least 18 years of age (19 in Alabama and Nebraska), and who maintain a valid Sony Store Account (or “Account”) associated with electronics.sony.com. Accounts are free to set up.

Employees of Sony Electronics are not eligible to participate in the Program whatsoever, including with regard to the Website or any other friends and family website. Corporations, businesses, companies, associations, or other groups are not eligible and may not participate in the Program. The Program may not be used for any business or commercial purpose

If you purchase My Sony Care using an email address that is already associated with a Sony Store Account, your My Sony Care membership will be activated automatically upon payment. If you purchase My Sony Care without having a Sony Store Account, you must create a Sony Store Account using the same email address used to purchase the My Sony Care membership within 30 days of purchase. If you fail to do so, your My Sony Care membership purchase will be canceled and you will not be eligible for My Sony Care or any benefits thereunder.

By joining the Program and becoming a Program member, you (“you,” “your,” or “Member”), agree that you have read, understood, and agree to be bound by these Care Program Terms and Conditions of Participation (collectively, “Terms”), including as changed, modified or amended.

These Terms do not alter in any way the terms or conditions of any other agreement you may have with Sony, including any agreement for products or services. By enrolling in the Care Program, you also agree to be bound by the following terms and conditions. If you do not agree to the terms and conditions, you cannot participate in the Program.

You agree to receive emails related to My Sony Care and the My Sony Loyalty Program at the email address associated with your Sony Store Account.

Please Note: Access to the Care Program is only accessible by logging into your Sony Account on the Website.

With regard to the Sony Account, you must include your full name, email address, country, and date of birth and create a password in order to activate your Sony Account. You are solely responsible for maintaining the accuracy and confidentiality of your Sony Account information and for updating it as required. You may update your personal information by logging into your Sony Account on the Website.

Only one Sony Account may be associated with an individual Program Member and a single email address. In the event of a dispute over the identity of the Member enrolled in the Care Program, the Member will be deemed to be the authorized account holder of the email address submitted at the time of enrollment. The "authorized account holder" is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

3. My Sony Care Program Fee; Term; Automatic Renewal

  • The annual fee for My Sony Care membership (“My Sony Care” or “Care Program”) is $179.99 plus applicable taxes, charged in advance (“Fee”).
  • Membership in the Care Program begins on the date of initial purchase and continues for one (1) year, unless canceled in accordance with Section 8 hereunder.
  • Membership in the Care Program and all included benefits are personal to the primary Sony Store Account holder and may not be transferred, assigned, delegated or sold.

IMPORTANT AUTO-RENEWAL DISCLOSURE:

  • YOUR MY SONY CARE MEMBERSHIP WILL RENEW AUTOMATICALLY EACH YEAR UNLESS YOU CANCEL BEFORE THE END OF YOUR CURRENT TERM.
  • YOU AUTHORIZE SONY ELECTRONICS TO CHARGE THE PAYMENT METHOD STORED IN YOUR SONY ACCOUNT AT THE START OF EACH ANNUAL BILLING PERIOD FOR THE THEN-CURRENT ANNUAL FEE (PLUS TAX), UNLESS YOU CANCEL FIFTEEN (15) DAYS BEFORE THE RENEWAL DATE.
  • IN THE EVENT OF A PRICE CHANGE, WE WILL NOTIFY YOU VIA YOUR SONY ACCOUNT EMAIL IN ADVANCE OF YOUR RENEWAL.
  • WE WILL SEND A RENEWAL REMINDER TO YOUR SONY ACCOUNT EMAIL ADDRESS IN ADVANCE OF YOUR NEXT ANNUAL CHARGE WITH INFORMATION ON HOW TO CANCEL.

To avoid renewal, you must cancel at least fifteen (15) days before your renewal date as described in Section 8.

4. My Sony Care Program Benefits

During a paid-term, in addition to the benefits under your free My Sony membership, My Sony Care provides the following benefits to the Sony Account holder:

  • Enhanced Points earning: 4% in My Sony Points on eligible purchases from the Website, calculated per the My Sony Membership Terms & Conditions (including the definition of Qualified Purchases, Exclusions, rounding, posting, and Point expiration rules).
  • My Sony Care Service Plan benefit: Qualified Purchases on the Website will receive parts, labor and accidental damage coverage and limits as described in Section 5 hereunder.
  • Access to a dedicated direct customer service telephone number ("Priority Telephone Support") available Monday to Sunday 7am to 4 pm Pacific Time (excluding Sony observed holidays and periods where unavailability is due to circumstances beyond Sony's control).
  • Expedited three (3) business day In-Warranty and Out-of-Warranty Turnaround Time on repair of Qualified Purchases (some exclusions apply).
  • Twenty percent (20%) discount on repairs for registered Qualified Purchases (excludes Televisions). Other restrictions may apply.
  • Exclusive access: Invitations to select Sony events and special pricing on select products on the Website, as made available from time to time.
  • Complimentary holiday gift treatment: On eligible Sony products, as offered seasonally and subject to availability.
  • Free express shipping: Expedited shipping on Qualified Purchases (excluding Televisions larger than 55”), subject to carrier availability and destination limitations.

Sony may update, modify, add, or remove benefits in its sole, unappealable discretion at any time as permitted under Section 11 (Changes to the Care Program).

5. My Sony Care Service Plan Benefit

5.1 Eligibility; Attachment. During an active My Sony Care membership term, Qualified Products purchased from the Website will be covered by the My Sony Care service plan as set forth herein. Products not purchased on the Website, or purchased before the member’s My Sony Care membership enrollment date, are not eligible for this Care Program. The My Sony Care Program must be attached at point of sale to benefit Qualified Product purchased. Qualified Product purchased before enrollment in My Sony Care are ineligible for the plan.

5.2 Coverage Term; Successive Care Program Memberships. With regard to Qualified Products purchased under a My Sony Care Program, Qualified Product can only be covered for up to two (2) years in total coverage duration, provided that your paid My Sony Care membership remains active each applicable year and Care Program Fees are paid as part of your membership. A Qualified Product may not be covered for more than three (3) years in total under successive annual paid My Sony Care memberships.

5.3 Coverage Components. The My Sony Care Program includes for Qualified Products:

  • One (1) year extension of the Limited Warranty that accompanies the Qualified Product, which shall begin upon expiry of the Limited Warranty; and
  • Accidental damage from handling (“ADH”) coverage for one (1) year, beginning on the Plan date of purchase.

Registria administers the extended Limited Warranty and ADH coverage. Coverage is subject to the My Sony Care Program service plan contract terms, conditions, exclusions, and claims procedures provided at the time of Qualified Product purchase and Care Program attachment.

5.4 Service Plan Coverage Limits; Aggregates. Subject to the applicable Care Program terms and conditions:

  • Service plan may require deductibles for certain services or support. See service plan for details.
  • Single claim limits by Qualified Product category (per Care Program term): Imaging Solutions: $7,500; Television: $5,000; Home Audio: $2,500; Personal Audio: $2,500.
  • Aggregate claim limit: $10,000 per membership year, across all covered Qualified Products. Unlimited claims up to the aggregate limit.
  • Rolling replenishment: Amounts paid on a claim reduce the available aggregate; exactly 12 months after a given claim date, the amount used by that claim replenishes to the available aggregate. Each claim starts its own 12-month replenishment clock.

5.5 Devices; Purchase Window. Only new Qualified Products purchased from the Website are eligible for the Care Program. Care Program attachment is available at point of sale only. Once a Qualified Product has been purchased, you cannot retroactively add or attach the My Sony Care Program to that Qualified Product under any circumstances whatsoever. The Care Program must be purchased at the time of purchase of Qualified Product to ensure coverage. Unless otherwise required by law or at Sony’s sole discretion, there is no cap on the number of eligible Qualified Products that you may purchase while your My Sony Care membership remains active, subject to the aggregate limits above in Section 5.4.

5.6 Primary Account Holder. All Care Programs are established in the name of the primary My Sony Care Account holder if the Qualified Product purchase is identified as being associated with that Account, including where the Qualified Product is purchased as a gift for another person.

5.7 Service Plan End. Care Program coverage ends upon the earliest of: (a) expiration of the applicable Care Program term; (b) cancellation or non-renewal of either your free My Sony membership or your paid My Sony Care membership; or (c) exhaustion of the applicable aggregate limit, subject to the maximum coverage period and Care Program terms and conditions.

5.8 Exclusions; Procedures. Coverage is subject to all exclusions, conditions, and claim procedures set forth in the My Sony Care service plan contract delivered via email to you at time of purchase. The Limited Warranty accompanying the Qualified Product continues to apply as stated therein.

6. Non-Transferability; Personal Use

My Sony Care memberships, benefits, Points, and service plans are for personal use only and may not be sold, assigned, shared, or transferred.

IN THE EVENT THAT YOU SELL OR TRANSFER THE QUALIFIED PRODUCT ORIGINALLY PURCHASED UNDER YOUR MY SONY CARE MEMBERSHIP, YOU ACKNOWLEDGE AND AGREE THAT THE MY SONY CARE BENEFITS WILL NOT BE TRANSFERRED WITH THE QUALIFIED PRODUCT WHATSOEVER.

Sony reserves the sole, unilateral right to limit order quantities or cancel orders we believe may violate these Terms based on our sole, unappealable discretion.

7. Communications

If you are opted-in to Sony marketing emails, you may receive promotional communications regarding My Sony Care. Transactional communications related to your membership, benefits, renewals, and changes to these Terms will be sent to your Account email address regardless of marketing preferences.

8. Cancellations; Refunds

8.1 How to Cancel. You may cancel auto-renewal at any time by logging into your Sony Store Account and managing your subscription in your My Sony Account area on the Website. Cancellation stops future renewals; however, your membership and benefits will continue through the end of your current paid term unless otherwise stated.

8.2 Account Activation Failure. If you do not create a Sony Account within 30 days of purchasing My Sony Care, your membership will be canceled and the membership Fee refunded, less the value of any benefits received, including without limitation promotional discounts, cost of free products, etc. If you terminate your Sony Account, you automatically cancel your Care Program membership (as well as your free My Sony membership).

8.3 Refunds Within 30 Days of Enrollment. If you cancel within 30 days of initial enrollment:

  • If you have not placed any orders, accepted delivery, or used any benefits, you will receive a refund of the annual Fee paid. In the event that you filed a claim under the Care Program service plan within the thirty (30) days of enrollment, the membership is NON-REFUNDABLE.
  • Alternatively, you will receive a refund of the annual Fee if: (a) all Qualified Products purchased/ordered while a member have been canceled prior to shipment; or (b) all Qualified Products delivered while a member have been returned within the applicable return window; and in each case no membership benefits have been used.
  • Any refund will be net of the value of benefits received, including but not limited to promotional pricing, discounts, shipping upgrades, and complimentary items.

8.4 No Refunds After 30 Days. EXCEPT AS REQUIRED BY LAW OR EXPRESSLY STATED IN THESE TERMS, IF YOU CANCEL MORE THAN 30 DAYS AFTER ENROLLMENT, NO FEE REFUND IS AVAILABLE. YOUR BENEFITS UNDER THE CARE PROGRAM WILL CONTINUE UNTIL THE END OF THE THEN-CURRENT PAID TERM. CANCELLATION WILL TURN OFF THE AUTO-RENEWAL PROCESS.

8.5 Exceptional Cases. If, within 30 days following membership enrollment, Qualified Products you ordered as a member: (a) have not been delivered and you cancel both the Qualified Product order(s) and your membership; or (b) are subject to shipment delays of eight (8) or more weeks leading to delivery and standard return windows that extend beyond 30 days post-enrollment; or (c) arrive damaged and you decline replacement, we may provide a refund of the membership Fee, net of any benefits used or received, including but not limited to promotional pricing, discounts, shipping upgrades, and complimentary items. Any associated My Sony Care service plan coverage for such Qualified Products will be canceled.

8.6 Effect of Cancellation. Upon cancellation or expiration, benefits end at the conclusion of the current paid term (unless terminated earlier for cause). You may continue in the free My Sony Membership tier subject to its terms, and you may separately cancel the free tier at any time. Any attached My Sony Care service plans terminate in accordance with Section 5.7 and the applicable plan contract.

9. Misuse; Suspension; Termination

We may audit, suspend, or terminate your My Sony Care membership, downgrade you to the free tier, and/or revoke benefits if we suspect misuse, fraud, illegal activity, violation of these Terms or the My Sony Cares Terms & Conditions , or other conduct detrimental to Sony based on our sole, unappealable discretion. If terminated for cause, Fees are non-refundable and benefits, Points, or coverage shall be forfeited.

10. Disclaimers; Limitation of Liability; Indemnity

10.1. NEITHER SONY NOR OUR PARENT, SUBSIDIARIES, AFFILIATES, PARTNERS, AGENTS, OR LICENSORS MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THESE TERMS OR THE CARE PROGRAM OR ANY OF THE POINTS, REWARDS OR BENEFITS ASSOCIATED WITH THE CARE PROGRAM INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH REPRESENTATIONS AND WARRANTIES ARE NOT LEGALLY EXCLUDABLE.

10.2. YOU AGREE THAT NEITHER SONY NOR OUR PARENT, SUBSIDIARIES, AFFILIATES, PARTNERS, AGENTS, OR LICENSORS WILL BE RESPONSIBLE OR LIABLE IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) FOR ANY (A) INTERRUPTION OF BUSINESS; (B) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THE PROGRAM; (C) DATA NON-DELIVERY, LOSS, THEFT, MISDELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (D) LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF DEALINGS WITH OR THE PRESENCE OF THIRD PARTY LINKS ON THE WEBSITE OR USE OF ANY POINT, REWARD OR BENEFIT OF THE PROGRAM; (E) COMPUTER VIRUSES, SYSTEM FAILURES OR MALFUNCTIONS WHICH MAY OCCUR IN CONNECTION WITH YOUR USE OF THE WEBSITE, INCLUDING DURING HYPERLINK TO OR FROM THIRD PARTY WEBSITES; (F) ANY INACCURACIES OR OMISSIONS IN CARE PROGRAM CONTENT; OR (G) EVENTS BEYOND OUR REASONABLE CONTROL. WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED OR THAT THE PROGRAM WILL CONTINUE.

10.3. FURTHER, NEITHER SONY NOR OUR PARENT, SUBSIDIARIES, AFFILIATES, PARTNERS, AGENTS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) RELATED TO THE CARE PROGRAM OR AND YOUR PARTICIPATION THEREIN, WHETHER IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED TEN U.S. DOLLARS ($10.00).

10.4. YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, YOUR PARTICIPATION IN THE CARE PROGRAM, USE OF ANY POINTS, REWARDS OR BENEFIT OR THESE TERMS MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH THE CARE PROGRAM, TERMINATION OF YOUR MEMBERSHIP IN THE CARE PROGRAM IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.

11. Changes to the Program

My Sony Care and its benefits are offered at our sole, unappealable discretion. We may change, suspend, or discontinue all or part of My Sony Care at any time. Changes may affect the availability or value of benefits, the ability to use benefits, or the pricing or terms of renewal. Your continued participation constitutes acceptance of updated terms and conditions.

12. Governing Law; Dispute Resolution; Arbitration; Class Action Waiver

12.1 These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12.2 DISPUTE RESULUTION (INCLUDING BINDING ARBITRATION)

“Dispute” is defined as any disagreement, cause of action, claim, controversy, or proceeding between you and any Sony related to or arising out of the sale of the Product by Sony, your purchase and/or use of the Product, or the terms of this Agreement. Dispute is to be given the broadest possible meaning that will be enforced.

You and Sony agree that all Disputes shall be resolved exclusively through binding arbitration. YOU UNDERSTAND AND ACKNOWLEDGE THAT BY AGREEING TO ARBITRATION, YOU ARE GIVING UP THE RIGHT TO LITIGATE (OR PARTICIPATE IN AS A PARTY OR CLASS MEMBER) ANY DISPUTES IN COURT. You also agree that ANY DISPUTE RESOLUTION PROCEEDING WILL ONLY CONSIDER YOUR INDIVIDUAL CLAIMS, AND BOTH PARTIES AGREE NOT TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. Despite the above, you have the right to litigate any Dispute on an individual basis in small claims court or other similar court of limited jurisdiction, to the extent the amount at issue does not exceed $15,000, and as long as such court has proper jurisdiction and all other requirements (including amount in controversy) are satisfied.

Arbitration Instructions. To begin Arbitration, either you or Sony must make a written demand to the other for arbitration. The Arbitration will take place before a single arbitrator. It will be administered in keeping with the Expedited Procedures of the Commercial Arbitration Rules, and the Supplementary Proceedings for Consumer-Related disputes when applicable (“Rules”) of the American Arbitration Association (“AAA”) in effect when the claim is filed. You may get a copy of AAA’s Rules by contacting AAA at 1-800-778-7879 or visiting www.adr.org. The filing fees to begin and carry out arbitration will be shared between you and Sony, but in no event shall your fees ever exceed the amount allowable by the special rules for Consumers Disputes provided for by AAA, at which point Sony will cover all additional administrative fees and expenses. This does not prohibit the Arbitrator from giving the winning party their fees and expenses of the arbitration when appropriate pursuant to the Rules. Unless you and Sony agree differently, the arbitration will take place in the county and state where you live, and applicable federal or state law shall govern the substance of any Dispute during the arbitration. However, the Federal Arbitration Act, 9 U.S.C. § 1, et seq., will govern the arbitration itself and not any state law on arbitration. If you purchase the Product in the United States, but subsequently live outside of the United States, arbitration will take place in the county in which you purchased the Product. The Arbitrator’s decision will be binding and final, except for a limited right of appeal under the Federal Arbitration Act. The arbitrator may award declaratory or injunctive relief only to the extent necessary to provide relief warranted by that party’s individual claim, and any court with jurisdiction over the parties may enforce the arbitrator’s decision.

Opt-Out Instructions. IF YOU DO NOT WISH TO BE BOUND BY THE BINDING ARBITRATION PROVISION, THEN: (1) you must notify Sony in writing within 30 days of the date that you enrolled in the Program; (2) your written notification must be mailed to Sony Electronics Inc., 16535 Via Esprillo, MZ 1105, San Diego CA 92127, Attn: Legal Department; AND (3) your written notification must include (a) your NAME, (b) your ADDRESS, (c) the DATE you enrolled in the Program, and (d) a clear statement that “YOU DO NOT WISH TO RESOLVE DISPUTES WITH ANY SONY ELECTRONICS ENTITY THROUGH ARBITRATION AND/OR BE BOUND BY THE CLASS ACTION WAIVER.”

Opting out of this dispute resolution procedure will not affect the coverage of the Limited Warranty accompanying any products in any way, and you will continue to enjoy the benefits of the Limited Warranty that accompanies the product.

Your information is handled in accordance with Sony’s Privacy Policy and Financial Incentive Notice:

14. Indemnification

You agree to defend, indemnify and hold harmless, Sony, its parents, subsidiaries and other affiliates, and the respective officers, directors, employees and agents of each of them, from and against all claims, suits, liabilities, losses, costs and expenses (including reasonable attorneys’ and experts’ fees and court and settlement costs) arising from or incident to: resulting from any third party claim, action, or demand resulting from your participation in the Care Program in violation of any law, rule, regulation or these Terms.

Sony’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Sony reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Sony in asserting any available defenses. Section 14 shall remain in full force and effect notwithstanding any termination of your use of the Care Program or Sony Account.

15. Miscellaneous

These Terms, including terms set forth in Section 2, constitute the entire agreement regarding My Sony Care Program. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign our rights and delegate our obligations at any time. Headings are for convenience only. Failure to enforce any provision is not a waiver.
